Sales conditions
1. SCOPE OF APPLICATION
1.1 Unless special conditions are mentioned on the back of the invoice or order form, only the conditions of application listed below are valid and to the exclusion of all others. The present general conditions apply to all relations concluded between Lenssite.eu (BOS bv) and its customers (hereinafter referred to as the Buyer). The general conditions are deemed to have been accepted by the Buyer by the sole fact of placing the order, even in the event that they are in contradiction with his own general or specific conditions. The latter are only binding on Lenssite.eu (BOS bv) if they have been expressly accepted by it in writing.
2. RATES
2.1 The prices indicated in the offers are valid until their expiry, unless the sales conditions of Lenssite.eu (BOS bv)' suppliers and/or exceptional circumstances are modified. These modifications will be notified to the Buyer by registered letter or fax and will be presumed accepted by the latter at the end of a period of 5 working days following the sending of the notification, unless the Buyer objects within this period by registered letter. If the purchaser refuses the new price thus communicated, Lenssite.eu (BOS bv) shall be entitled to cancel the order, without being liable for any damages.
2.2 Prices are in Euros, including VAT. Transport Costs vary depending on the country and order value and are displayed during the order proces.
2.3 For deliveries to other countries, any taxes, duties and other services to be paid in accordance with the regulations of an importing country or a country in transit shall be borne by the buyer.
3. ORDERS
3.1 Our commercial documents are of an indicative nature. The non-substantial characteristics of the products presented may change between the signing of the contract and delivery, without any change giving rise to a claim for damages.
3.2 In the event of a substantial change to the product, the buyer shall be entitled to terminate the agreement within 8 calendar days of the announcement of the change, without being entitled to claim any compensation.
4. PAYMENT CONDITIONS
4.1 Invoices are payable net cash and without discount.
4.2 In cases where a deposit is required on signing the order form, Lenssite.eu (BOS bv) reserves the right to place the order for the products only after receipt of the deposit.
4.3 Complaints concerning invoices must be brought to the attention of Lenssite.eu (BOS bv) by registered letter within 8 calendar days of the invoice date.
4.4 In the event of late payment of more than 8 calendar days, the sums due will be increased, without any formality or prior notice of default: (1) by late payment interest, amounting to 12% of the amount of the order, until full payment of the sums due on any grounds whatsoever. (2) a fixed and irreducible amount equal to 12% of the sums due, for whatever reason.
4.5 At the end of the 8-day period, all sums owed by the Buyer, on any grounds whatsoever, by virtue of this order or any other orders, shall become immediately payable. In addition, Lenssite.eu (BOS bv) shall be entitled to suspend the execution of all obligations arising from this order or any other orders to the Buyer in default of payment, until full payment of the sums due, on whatever grounds.
4.6 No payment may be suspended or offset by the Buyer without prior agreement from Lenssite.eu (BOS bv). Any partial payment will be charged first to the sums that are due the earliest.
5. DELIVERY
5.1 For products available in stock, shipment is normally made within 2 working days. In case of unavailability of the product in our premises, the delivery will be made as soon as possible. For products other than those available in stock, the delivery time is specified in the offer and is given as an indication only.
5.2 The Buyer is obliged to check prior to delivery that he meets all the technical and material requirements necessary for the proper use of the products. If this is not the case, no claim may be made against Lenssite.eu (BOS bv)s as a result of this failure.
5.3 No delay in delivery may give rise to any deductions, penalties, compensation or indemnities.
6. INSTALLATION
Where the products ordered require installation and this is carried out by the Buyer, Lenssite.eu (BOS bv) shall not be held liable in cases where all these instructions have not been followed.
7. TRANSFER OF RISKS
The transfer of risks of loss and deterioration of the products during transport will be at the charge of Lenssite.eu (BOS bv), except in cases where the transport costs are at the charge of the Buyer, in which case the Buyer assumes the risks and dangers of transport.
8. RETENTION OF TITLE CLAUSE
8.1 The transfer of ownership of the products sold to the Buyer is subject to full payment of the price in principal and accessories. In case of non-payment by the Buyer on one of the due dates, whatever the cause, or more generally in case Lenssite.eu (BOS bv) would have legitimate reasons to believe that the Buyer would not be able to respect its commitments, Lenssite.eu (BOS bv) may, without prejudice to its rights to payment, demand the immediate return of the products at the Buyer's expense and risk.
8.2 In this respect, the Buyer expressly authorises Lenssite.eu (BOS bv), or any person mandated by it, to enter the Buyer's premises in order to take possession of the delivered products.
9. WARRANTY
Unless specifically stipulated in the offer, the guarantees granted to the Buyer are limited to those granted by the suppliers of Lenssite.eu (BOS bv), about which the Buyer is supposed to have been fully informed before concluding the contract.
10. RECEPTION AND RETURN OF PRODUCTS
10.1 It is the responsibility of the Buyer to verify the good condition of the products at the time of delivery. This check must cover the references, quantities, quality of the products as well as their conformity with the order. To be valid, any complaint must be made by registered letter, at the latest within 8 calendar days following receipt of the products. No complaint will be accepted after handling the products.
10.2 If the products have suffered loss or damage during transport, the Buyer must make precise and complete reservations on the transport document and notify Lenssite.eu (BOS bv) as soon as possible.
10.3 No product may be returned without the written authorization of Lenssite.eu (BOS bv). Such authorization does not imply any recognition by Lenssite.eu (BOS bv) that the returned products are defective or non-conforming. In all cases, the return will be at the buyer's risk.
10.4 In the case of proven defects, Lenssite.eu (BOS bv) reserves the right to replace or repair the products in question, except in the case of special agreements or specific mentions in the offer.
11. COMPETENT JURISDICTION AND APPLICABLE LAW
These conditions are subject to Belgian law, excluding the rules of the 1980 Vienna Convention on the International Sale of Goods. In the event of a dispute relating to these conditions, only the courts of Kortrijk shall have jurisdiction.
